(Mexican Stock Exchange code: NEMAK) announced that it has reached a definitive agreement to acquire the automotive business of GF Casting Solutions, a leader in lightweight casting components based in Switzerland. This strategic acquisition marks a critical milestone in Nemak's transition towards electric powertrain components and expanding its global footprint. The deal will further diversify Nemak's customer base, enhance its technical capabilities, and solidify its position in the transition to sustainable mobility. GF Casting Solutions' automotive business will bring advanced expertise in the design and manufacturing of highly complex aluminum and magnesium alloy body structures, key materials for lightweight automotive design. The acquisition will also bolster Nemak's significant capacity and technology in high-pressure die casting, expanding its business coverage, particularly among high-end OEM customers in Europe and China. Transaction Details: GF Casting Solutions is a division of the Swiss industrial company Georg Fischer (GF). This transaction includes all of GF Casting Solutions' automotive business, headquartered in Switzerland, with an estimated revenue of approximately $707 million in 2024. The deal encompasses a research and development center located in Switzerland, along with nine factories distributed across Austria, China, Romania, Germany, and the United States, employing approximately 2,500 people. GF's foundry in Leipzig, Germany, along with its aerospace and industrial gas turbine operations in Novazzano, Stabio, and Arad, Romania, are not included in this transaction. Its product portfolio includes highly complex aluminum and magnesium alloy components, with about 80% related to new energy vehicles and body structure and chassis fields, and approximately 20% for other components. Clients include European OEMs such as Audi, BMW, Jaguar Land Rover, Mercedes-Benz, Porsche, Stellantis, Volkswagen, and Volvo, as well as Chinese OEMs like BYD, Denza, Geely, Hongqi, Li Auto, NIO, Xpeng, and Zeekr. The acquisition is expected to be completed in the second half of 2025, pending regulatory approvals and other legal conditions.
